Bicycle Storage and Shower/Locker Room Facilities
License Use Agreement

NOW THEREFORE this Agreement witnesses that in consideration of the promises and covenants herein contained and other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged by the Licensor and Licensee), the parties hereto hereby covenant and agree as follows:

Bicycle Storage License Use Agreement

1. The Licensor hereby grants to the Licensee the right to occupy and use in common with other Licensee’s the bicycle cages located at Stantec Tower 10220 – 103 Avenue, Edmonton (“Bicycle Cage”).

2. The Licensee covenants that he/she is employed by a company which is a tenant at Stantec Tower AND Stantec Tower is the Licensee’s primary location of work. The Licensee further agrees that in the event that Stantec Tower is no longer the Licensee’s primary location of work, the Licensee shall immediately inform Licensor of same, this Agreement shall be terminated immediately, and the Licensee shall immediately surrender the base building access card (if applicable) to the Licensor.

3. The Licensee acknowledges and agrees that:

a. Licensee’s use of the Bicycle Cage is at Licensee’s own risk and Licensor is not responsible for property loss or damage resulting directly or indirectly from Licensee’s occupancy or use of the Bicycle Cage;
b. The Licensee will be responsible for providing and using their own bicycle lock, The Licensee shall only be obligated to remove such lock upon 24 hours written notice by Licensor, after which time Licensor may remove such lock, bicycle or other property left in Bicycle Cage.
c. In the case of lock, bicycle and/or property removal, Licensor shall have no responsibility or liability whatsoever for lost or damaged property of the Licensee; and d. Licensor and its employees, officers, directors, and agents shall retain the right to enter the Bicycle Cage at any time

4. The Licensee covenants and warrants that Licensee:

a. Will not allow access to the Bicycle Cage to any other person;
b. Will ensure that Licensee’s use of the Bicycle Cage does not disrupt or unnecessarily interfere with another Licensee’s use of the Bicycle Cage;
c. Will not store, hazardous materials, food or drink, or any other perishable food items in the Bicycle Cage; and
d. Will act reasonably to ensure that the Bicycle Cage is kept clean and tidy (including but not limited to cleaning up after oneself, alerting Stantec Tower personnel when the Bicycle Cage is dirty or in need of repair, etc.).

5. In consideration of being granted access to the Bicycle Cage, the Licensee on their own and on behalf of all of their heirs, successors, executors, administrators and assigns and each of them hereby represents and agrees to defend, indemnify and hold harmless the Licensor and its affiliates and its and their employees, directors, officers, and agents, from and against any and all losses, claims, actions, causes of action, suits, including all costs, in respect of any loss, damage, property damage or bodily injury suffered or sustained by Licensee, Licensor or a third party, based upon any theory of liability whatsoever, directly or indirectly, caused or related to Licensee’s occupancy and use of the Bicycle Cage.

6. This Agreement may be terminated by either Licensor or the Licensee upon written notice to the other party, for any reason, whatsoever. Upon termination, Licensee shall immediately remove all of Licensor’s property from the Bicycle Cage and surrender the base building access card (if applicable) to the Licensor.

7. The term of this agreement shall be month to month and shall commence upon full execution of this agreement.

 

Shower/Locker Room Facilities License Use Agreement

1. The Licensor hereby grants to the Licensee the right to occupy and use in common with other Licensee’s the Shower Facilities and Locker Room located at Stantec Tower 10220 – 103 Avenue, Edmonton (“Facilities”).

2. The Licensee covenants that he/she is employed by a company which is a tenant at Stantec Tower AND Stantec Tower is the Licensee’s primary location of work. The Licensee further agrees that in the event that Stantec Tower is no longer the Licensee’s primary location of work, the Licensee shall immediately inform Licensor of same, this Agreement shall be terminated immediately, and the Licensee shall immediately surrender the base building access card (if applicable) to the Licensor.

3. The Licensee acknowledges and agrees that:

a. Licensee’s use of the Facilities is at Licensee’s own risk and Licensor is not responsible for property loss or damage resulting directly or indirectly from Licensee’s occupancy or use of the Facilities;
b. Should the Licensee wish to utilize the lockers provided in the Facilities, the Licensee will be responsible for providing and using their own lock, and Licensee agrees to remove such lock by the end of each business day;
c. In the event Licensee’s lock is left on overnight, the licensee grants permission for the Licensor to remove the lock and all contents inside the locker;
d. In the case of lock and content removal, Licensor shall have no responsibility or liability whatsoever for lost or damaged property of the licensee; and
e. Licensor and its employees, officers, directors, and agents shall retain the right to enter the Facilities at any time.

4. The Licensee covenants and warrants that Licensee:

a. Will not allow access to the Facilities to any other person;
b. Will not store personal items in the locker overnight for any reason;
c. Will ensure that Licensee’s use of the Facilities does not disrupt or unnecessarily interfere with another Licensee’s use of the Facilities;
d. Will not store, hazardous materials, food or drink, or any other perishable food items in the Facilities; and
e. Will act reasonably to ensure that the Facilities is kept clean and tidy (including but not limited to cleaning up after oneself, alerting Stantec Tower personnel when the Facilities is dirty or in need of repair, etc.).

5. IN WITNESS WHEREOF the parties hereto have duly executed this Agreement.

(Hereinafter referred to as the “Licensor”) and the Licensee below.
